Terms of Service

1. Who These Terms Apply To
These Terms of Service ("Terms") govern access to and use of the Subin platform, including the website at subinpass.com, the merchant/dashboard area at app.subinpass.com, and the Subin mobile experience (together, the "Platform"), operated by Subin Pass Ltd, a company registered in Rivers State, Nigeria, with registered address at East West Road, Choba, Port Harcourt, Rivers State, Nigeria ("Subin", "we", "us", "our").
By creating an account, subscribing to a plan, or otherwise using the Platform, you agree to these Terms. If you are using the Platform on behalf of a business, you confirm you have authority to bind that business, and "you" includes that business.
There are two kinds of accounts on Subin, and different sections apply depending on which one you hold:
- Customer accounts: individuals who subscribe to a vendor's plan to receive discounted or prepaid access to goods or services (a "Pass").
- Vendor accounts: businesses ("Vendors", "Merchants") that list subscription plans on Subin for customers to buy, and receive payouts (minus Subin's platform fee) for redemptions.
2. What Subin Is, and Isn't
Subin is a marketplace and payment-processing intermediary. We connect customers who want subscription-based access to local services (for example car washes, barbers, gyms, spas, laundry, cleaning) with vendors who provide those services.
Subin is not the provider of the underlying service. The vendor is solely responsible for the quality, safety, legality, and delivery of whatever goods or services a Pass entitles the customer to. Subin is not a party to that underlying transaction and is not liable for a vendor's acts or omissions, subject to Section 11.
3. Eligibility and Accounts
- You must be at least 18 years old, or the age of legal majority in your jurisdiction, to hold an account.
- You must provide accurate, current information when registering and keep it up to date.
- You are responsible for keeping your login credentials, and any staff PIN codes issued under a vendor account, confidential. You are responsible for all activity under your account and any staff PIN, whether or not authorized by you.
- We may suspend or terminate an account that provides false information, is inactive, or violates these Terms.
4. Customer Terms
4.1 Subscription Passes
- When you subscribe to a plan, you receive a Pass entitling you to redeem goods or services from that vendor, subject to the plan's specific terms (its value limit, unit/visit limit, duration, and expiry, all shown to you before purchase).
- Passes are tied to your account and are non-transferable, except through Subin's built-in gifting feature, which transfers the Pass to another Subin user you designate and revokes your own access.
- Redemption happens via QR code scan or a time-limited PIN at the vendor's location. You are responsible for keeping your redemption credentials private; a redemption completed with your credentials is treated as authorized by you.
4.2 Family/Household Sharing
- You may invite other Subin users as household members and share some or all of your Pass's remaining value or credits with them, subject to limits you set.
- You remain the account holder responsible for the subscription and its billing; sharing does not transfer billing responsibility.
4.3 Referrals and Bonus Credit
Referral bonuses, welcome credits, or similar promotional balances are not cash, cannot be withdrawn, expire as disclosed at the time they are granted, and may be adjusted or revoked if we determine they were obtained through abuse, fraud, or violation of these Terms.
4.4 Reviews
You may leave a review only after a verified redemption at that vendor. Reviews must be honest and based on your own experience. We may remove reviews that are fraudulent, abusive, or violate applicable law.
5. Vendor Terms
5.1 Onboarding and Verification
- To list plans and accept subscribers, a vendor must complete KYC (know-your-customer) verification, including submitting a business registration certificate, a representative's identification document, and proof of the business storefront/address.
- Subin reviews and approves or rejects vendor KYC submissions at its discretion. A vendor's storefront is not visible to customers, and cannot accept subscriptions, until verification is approved.
- Vendors must keep KYC information current and promptly notify Subin of any change in ownership, business status, or the information submitted.
5.2 Fees and Payouts
- Subin charges a platform fee, calculated as a percentage of each subscription payment, disclosed to the vendor before or at the time of listing a plan and viewable in the vendor dashboard.
- Payments are processed through our payment processor (currently Paystack) and, where the vendor has completed payout setup, settled directly to the vendor's designated bank account, net of Subin's platform fee, on the payment schedule of our payment processor.
- Vendors are responsible for the accuracy of their own bank account and payout details. Subin is not liable for funds misdirected due to a vendor's own error in providing payout details.
- Vendors are responsible for their own applicable taxes on revenue earned through the Platform.
5.3 Staff Accounts
- A vendor may create limited-purpose staff/attendant accounts, secured by a PIN, to process redemptions on the vendor's behalf. A vendor is responsible for all actions taken through a staff PIN it issues, and for revoking access promptly when a staff member's authorization ends.
- Staff/attendant accounts do not have access to payout, financial, or account-settings data.
5.4 Vendor Content
- Vendors are responsible for the accuracy of their storefront listing, including photos, videos, descriptions, and pricing, and confirm they have the rights to upload any media submitted.
- Subin may remove or edit vendor content that is inaccurate, misleading, unlawful, or violates these Terms.
5.5 Walk-in and Non-Subscription Sales
Where the vendor dashboard offers a walk-in sales ledger for non-subscription transactions, this feature is a bookkeeping convenience for the vendor; Subin is not a party to, and takes no fee from, walk-in transactions logged this way unless separately agreed.
6. Payments
- All subscription payments are processed by our third-party payment processor. Subin does not store your full card details.
- Prices are shown in the currency configured for the vendor's storefront and are inclusive/exclusive of taxes as displayed at checkout.
- If a payment fails or a card is declined, your subscription may enter a grace period during which service continues temporarily, followed by suspension if payment is not resolved, as disclosed in-app.
7. Refunds and Cancellations
Refunds, cancellations, and auto-renewal are governed by our Refund Policy, which is part of these Terms.
8. Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose, or in a way that infringes another person's rights;
- Attempt to bypass, probe, or interfere with the Platform's security, authentication, rate limits, or payment verification;
- Submit false, stolen, or misleading KYC, identity, or payment information;
- Use another person's account, redemption credentials, or staff PIN without authorization;
- Scrape, resell, or redistribute Platform data without our written consent;
- Upload content that is unlawful, infringing, obscene, or that you do not have the right to share.
We may suspend or terminate access, reverse transactions, and/or report conduct to relevant authorities where we reasonably believe this section has been violated.
9. Intellectual Property
The Platform, its software, design, and Subin's trademarks and logos are owned by Subin or its licensors. Vendors retain ownership of the content they upload (storefront photos, videos, descriptions) but grant Subin a license to host, display, and use that content to operate and promote the Platform.
10. Disclaimers
The Platform is provided "as is" and "as available." To the maximum extent permitted by law, Subin disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement. Subin does not warrant that the Platform will be uninterrupted, error-free, or secure, though we take reasonable steps to keep it so.
11. Limitation of Liability
To the maximum extent permitted by law, Subin's total liability arising out of or relating to these Terms or the Platform is limited to the greater of (a) the fees Subin actually received in connection with the specific transaction giving rise to the claim, or (b) NGN 50,000. Subin is not liable for indirect, incidental, special, or consequential damages, or for a vendor's delivery, quality, or safety of the underlying goods or services.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or willful misconduct.
12. Indemnity
You agree to indemnify and hold Subin harmless from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your content, or your use of the Platform, except to the extent caused by Subin's own breach or negligence.
13. Suspension and Termination
We may suspend or terminate your account for breach of these Terms, suspected fraud, non-payment, or as required by law. You may close your account at any time; some data may be retained as described in our Privacy Policy for legal, accounting, or fraud-prevention purposes.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified in-app or by email before they take effect. Continued use of the Platform after changes take effect is acceptance of the updated Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-laws principles. Disputes will be subject to the exclusive jurisdiction of the courts of Rivers State, Nigeria, except where mandatory consumer-protection law requires otherwise.
